Corporate Paralegal and Legal Operations Coordinator (Paralegal, Senior)

We are seeking a highly motivated and detail-oriented Corporate Paralegal & Legal Operations Coordinator to join our legal team. This hybrid role offers an exciting opportunity to work on corporate law matters while also supporting legal operations initiatives. The ideal candidate will be well-versed in corporate governance, compliance, contract management, and legal administration, while also possessing strong organizational skills to help streamline and optimize the department’s operations
 
Responsibilities
 
Corporate Paralegal Duties:
  • Assist in the formation and maintenance of corporate entities, including drafting and filing incorporation documents, amendments, and other filings with government agencies.
  • Prepare and file necessary documents for corporate governance, such as board resolutions, minutes of meetings, and shareholder communications.
  • Assist with drafting, reviewing, and managing corporate contracts and agreements, including NDAs, service agreements, vendor contracts, and licensing agreements.
  • Maintain and organize corporate records, ensuring compliance with federal, state, and local regulations.
  • Manage corporate compliance activities, including preparation for regulatory filings and periodic reporting.
  • Support mergers, acquisitions, and other corporate transactions by preparing documents, conducting due diligence, and organizing transaction files.
  • Some limited travel may be required.
Legal Operations Responsibilities:
  • Assist in the implementation and maintenance of legal department systems, tools, and processes to enhance efficiency and streamline operations.
  • Collaborate with internal teams to track, manage, and report on key legal department metrics, including matter tracking, budgets, and invoices.
  • Help manage external law firm relationships, including handling billing, performance tracking, and ensuring compliance with budget constraints.
  • Support the implementation of technology solutions for contract management, document management, and other legal workflows.
  • Coordinate the preparation and management of legal department budgets, including forecasting, reporting, and expense tracking.
  • Manage legal department workflows and ensure effective communication and coordination between internal stakeholders.
  • Assist in compliance monitoring, risk management, and audits of legal department operations.
 
Ideal Experience:
  • Bachelor’s degree or equivalent experience in a related field.
  • Paralegal certificate from an accredited institution.
  • 5 or more years of experience as a corporate paralegal, preferably in a corporate or in-house legal department.
  • Experienced in managing corporate governance documents, compliance filings, and corporate transactions.
  • Familiarity with legal operations functions, such as matter management, contract lifecycle management, legal budgeting, and vendor management.
  • Experienced with Microsoft Office Suite and legal software (e.g., contract management systems, e-billing tools).
Desired Skills:
  • Experience with legal technology tools (e.g., e-billing, document management, contract management).
  • Background in managing cross-functional projects or initiatives.
  • Detail-oriented, organized, and capable of managing multiple priorities in a fast-paced environment.
  • Excellent written and verbal communication skills with the ability to work collaboratively across departments.
  • Ability to work independently and take initiative in identifying and solving problems.
  • Understanding of data privacy laws and regulatory compliance frameworks
